Last Updated: 20 February 2025

These Terms and Conditions (“Agreement”) set out the terms under which Meadow Pixel (“we,” “us,” “our”) provides website design services to clients (“you,” “your”). By engaging our services, you agree to be bound by these terms.

1. Services Provided

We provide website design and development services as outlined in the project proposal or quotation provided to you. Our services do not include hosting, domain registration, or ongoing website maintenance unless explicitly agreed upon in writing.

2. Project Scope & Client Responsibilities

  • A detailed scope of work will be provided before the project begins.
  • You must provide all required content, including text, images, branding materials, and any other assets necessary for the website build.
  • Failure to provide required content within the agreed timeline will delay the project. We are not responsible for missed deadlines caused by delays in receiving content.

3. Payment Terms

  • A 50% non-refundable deposit is required to secure our services and begin work on your project.
  • The remaining balance must be paid before the website is launched or handed over to you.
  • Payments must be made via the agreed-upon method (e.g., bank transfer, PayPal).

4. Project Timeline & Delays

  • Timelines for project completion will be agreed upon in writing before work begins.
  • If delays occur due to missing content or client inaction, we may reschedule the project timeline accordingly.
  • If the project is delayed for more than 30 days due to client inaction, we reserve the right to terminate the contract without refund.

5. Revisions & Changes

  • The quoted project includes a set number of revisions as specified in the proposal.
  • Additional revisions or major scope changes outside the original agreement may be subject to additional charges.

6. Hosting & Third-Party Services

  • We do not provide hosting services. It is your responsibility to procure and manage your own hosting and domain.
  • We are not responsible for any third-party services (e.g., hosting, plugins, software) that you choose to use.

7. Ownership & Intellectual Property

  • Upon full payment, you will own the final website design and content.
  • We reserve the right to display the completed work in our portfolio and marketing materials unless otherwise agreed in writing.
  • Any third-party licenses (e.g., stock images, fonts, software) remain the property of their respective owners.

8. Termination & Refunds

  • If you choose to cancel the project after the deposit is paid, the deposit remains non-refundable.
  • If you wish to terminate the project after significant work has been completed, additional fees may be applicable based on work done.

9. Liability & Disclaimers

  • While we take every precaution to ensure a functional and error-free website, we do not guarantee that the website will be completely error-free after launch.
  • We are not liable for any losses due to website downtime, security breaches, or any third-party software failures.

10. Governing Law

This Agreement shall be governed and interpreted in accordance with the laws of England and Wales.
